MWC’s head office is in Nairobi, Kenya and is composed of a team of competent, passionate and value-based legal practitioners including legal consultants, associates, trainee lawyers, pupils and legal interns.
THE ROLE
MWC Legal is seeking a highly motivated and detail-oriented Holding-Over Associate to join our Corporate & Commercial Department.
This role is ideal for a candidate who has successfully completed their Bachelor of Laws (LL.B), Advocates Training Programme (ATP) at the Kenya School of Law (KSL) and pupillage and is currently awaiting admission to the bar (2026).
KEY RESPONSIBILITIES
1. Commercial Contracts and Advisory
• Drafting and reviewing routine commercial agreements
• Supporting routine advisory work on among others, sector-specific compliance requirements, licensing and regulatory frameworks across different industries, Regulatory filings and statutory compliance obligations
2. Mergers & Acquisitions / Corporate Transactions
• Supporting transaction execution, including legal due diligence reviews and reports, conditions precedent tracking and closing coordination and preparation of completion documentation
• Assisting in reviewing and preparing transaction agreements
• Supporting preparation and filing of regulatory notifications, filings and consent applications
3. Capital Markets
• Assisting in legal due diligence exercises for capital raising transactions
• Supporting preparation of transaction documentation for capital raising transactions
• Assisting with regulatory notifications, approvals, and correspondence with regulators
• Supporting compliance with applicable securities and regulatory requirements
4. Construction, Infrastructure & Projects
• Assisting in preparation and review of project and construction documentation
• Assisting in preparation and review of project and construction documentation
• Assisting with variation management, contract compliance, and risk allocation analysis
• Supporting advisory work on project structuring and regulatory compliance
5. General Transactional & Departmental Support
• Conducting legal research and preparing internal and client-facing memoranda
• Attending client and regulator meetings and preparing meeting notes
• Liaising with clients, regulators, registries, and counterparties
• Supporting associates and partners in file and transaction management,
QUALIFICATIONS
Bachelor of Laws Degree (Second Class Honors)
Successfully Completed ATP at KSL
Successfully Completed of pupillage
Awaiting admission to the Bar (2026)
Demonstrable interest in corporate and commercial law
Prior exposure to transactional, commercial, regulatory or projects work
Strong decision making and problem-solving skills
Excellent written and verbal communication skills
